Glossary of Offshore & Banking Terms

• Offshore company: Entity incorporated in a jurisdiction different from the main place of operations/owners; often used for tax efficiency, asset protection and international business.
• Onshore company: Entity incorporated where it primarily operates; subject to local taxes and regulations.
• Nominee: Third party who acts in a registered capacity (director/shareholder) while beneficial ownership remains with the client, subject to KYC/AML.
• Registered agent: Licensed local intermediary responsible for company filings and statutory compliance.
• EMI / Payment institution: Licensed entity to issue e-money and/or provide payment services, subject to capital and compliance requirements.
• Brokerage / Investment firm: Licensed intermediary to execute trades or manage client assets under securities law.
• Captive insurance: Insurance company formed to insure risks of its parent/affiliates.
• KYC/AML: Know-Your-Customer / Anti-Money-Laundering rules for client identification and monitoring.
• Substance: Operational presence (office, staff, directors) required by certain jurisdictions for tax/economic purposes.
• Beneficial owner: Natural person who ultimately owns or controls a client or transaction.
